Terms of Service for CodifAI™
**Effective Date: March 31, 2026**
**PLEASE READ THESE TERMS OF SERVICE CAREFULLY. BY ACCESSING OR USING CodifAI™ (THE “SERVICE”), YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.**
These Terms of Service (“Terms”) form a legally binding agreement between you (“User,” “you,” or “your”) and **CodifAI™, a division of RK Partners, Inc.**, a Florida limited liability company (“Company,” “we,” “us,” or “our”), located at 550 N. Reo St., Tampa, FL 33333. The Service is a web-based application in **Beta** stage that processes accounting and tax-related information to assist with U.S. federal and state income tax matters.
We may update these Terms at any time. We will notify you of material changes. Your continued use of the Service after any changes constitutes your acceptance of the revised Terms.
### 1. Eligibility
You must be at least 18 years of age, a U.S. resident, and capable of forming a binding contract. The Service is intended solely for lawful personal or business use related to U.S. federal and state income tax. By using the Service, you represent and warrant that you meet these requirements.
### 2. Account Registration and Authentication
You register and log in using a valid U.S. email address or phone number. All authentication uses one-time passcodes (OTPs) sent via email or SMS. There are no passwords.- You must provide accurate and complete information and keep it current.- You consent to receiving OTPs, notifications, and communications (including automated texts/emails). Standard message and data rates may apply.- **You are solely responsible for securing access to your email account and phone number.** Anyone with access to them can receive OTPs and access your Account. We are not liable for unauthorized access resulting from your failure to protect these credentials.- Notify us immediately at [email protected] if you suspect unauthorized access or lose control of your email/phone.- We reserve the right to suspend or terminate any Account for security, fraud, or misuse concerns.
### 3. Beta Service DisclaimerThe Service is currently in **Beta** and is provided for testing and evaluation purposes. It may contain errors, inaccuracies, or incomplete features. We may change, suspend, or discontinue any aspect of the Service at any time without notice. Your use during Beta is at your own risk.
### 4. Use of the Service
You may use the Service only for your own lawful U.S. tax and accounting purposes. Prohibited activities include:- Using the Service on behalf of any third party.- Reverse engineering, copying, or attempting to access the source code.- Uploading harmful code, viruses, or attempting unauthorized access.- Using the Service to prepare or transmit fraudulent information.- Violating any U.S. federal, state, or local law.
### 5. User Content and Data
You retain ownership of the data and information you upload or input (“User Content”). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, process, reproduce, and display it solely as needed to operate, improve, and secure the Service (including aggregated/de-identified data for analytics).- **Data Retention**: We retain User Content for up to three (3) years after your last use, subject to change without notice. We may delete data earlier at our discretion.- **Your Responsibility**: You are solely responsible for backing up and maintaining copies of all your User Content. We are not liable for any loss or deletion of your data.You represent that your User Content is accurate, complete, and does not violate any laws or third-party rights.
### 6. Privacy Policy
Our separate Privacy Policy [insert link] explains how we collect, use, and protect your information, including sensitive tax data. It is incorporated into these Terms by reference. By using the Service, you consent to the practices in the Privacy Policy. We implement industry-standard security measures, but no system is 100% secure.
### 7. Intellectual Property
All trademarks, copyrights, logos, service marks, and other intellectual property in the Service and CodifAI™ name are proprietary to CodifAI™, a division of RK Partners, Inc. and protected by U.S. law. You are granted a limited, revocable, non-exclusive, non-transferable license to use the Service during the term of these Terms for your personal or internal business use only. You may not copy, modify, distribute, or commercially exploit any part of the Service.
### 8. Fees
The Service is a fee-based offering. Fees are invoiced separately outside the Service. No payments are processed within the Service. All fees are non-refundable unless otherwise stated in a separate agreement.
### 9. Disclaimers and No Professional Advice**
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITH ALL FAULTS.** WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.**CRITICAL TAX DISCLAIMER**: The Service performs data processing and generates certain tax forms for download only. These forms are **not** submitted to the IRS or any state agency. All outputs are for informational purposes only and **must** be reviewed and approved by your own qualified CPA, enrolled agent, or tax professional before use or filing.**You are solely responsible** for the accuracy of your inputs, the correctness of all outputs, proper filing of returns, and payment of all taxes, penalties, and interest. Use of the Service does not relieve you of these obligations. Consult a licensed tax professional for your specific circumstances.
### 10. Limitation of Liability**
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CodifAI™, a division of RK Partners, Inc. AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES** (including lost profits, data loss, tax penalties, interest, audit costs, or business interruption), EVEN IF ADVISED OF THE POSSIBILITY.Our total liability to you for any claim shall not exceed the greater of (i) the total fees you paid to us in the twelve (12) months before the claim, or (ii) One Hundred U.S. Dollars ($100). These limitations apply regardless of the legal theory and even if a remedy fails of its essential purpose.We are not liable for issues caused by third-party services (email/SMS providers, etc.), internet failures, or force majeure events.
### 11. Indemnification
You agree to indemnify, defend, and hold harmless CodifAI™, a division of RK Partners, Inc. and its members, officers, employees, and agents from any claims, damages, losses, and expenses (including attorneys’ fees) arising from your use of the Service, your User Content, any tax filings or liabilities related to your use, or any breach of these Terms.
### 12. Binding Arbitration and Class Action Waiver
Any dispute, claim, or controversy arising out of or relating to these Terms, the Service, or your relationship with CodifAI™, a division of RK Partners, Inc. shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, in Tampa, Florida. The arbitrator’s decision shall be final and binding.**YOU AND THE COMPANY AGREE TO WAIVE ANY RIGHT TO A JURY TRIAL OR TO PARTICIPATE IN ANY CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING.** Arbitration shall be conducted on an individual basis only. You may opt out of this arbitration agreement by sending written notice within thirty (30) days of first using the Service to the address above.
### 13. Termination
We may suspend or terminate your access at any time, with or without notice, for any reason. You may request Account deletion by contacting support. Sections 5, 9, 10, 11, 12, and 14 survive termination.
### 14. Governing Law
These Terms are governed by the laws of the State of Florida, without regard to conflict of laws rules. Any matters not subject to arbitration shall be brought exclusively in the state or federal courts located in Hillsborough County, Florida.
### 15. Miscellaneous
- **Severability**: Invalid provisions do not affect the rest.
- **Entire Agreement**: These Terms and the Privacy Policy constitute the full agreement.
- **No Waiver**: Failure to enforce a right is not a waiver.
